Your participation in the Contest, including your submission of a video to Memelabs.com shall be deemed to be your complete acceptance of the terms set out below by Memelabs.com and Splash Marketing & Promotions (collectively referred to as "Organizer") and Ontario Tourism Marketing Partnership Corporation ("Sponsor").

1. Contest Opens – August 25, 2007, 2:00:00 p.m. Eastern Daylight Savings Time (EDT)

2. Only one video can be submitted per entrant. Videos must be between 30-40 seconds long. Entries will not be returned and will remain the property of Sponsor.
3. All entries must be submitted by September 30, 2007,11:59:59 p.m. EDT, and must be accompanied by the Consent, Release and Waiver Form ontariotravel.net.
4. The video submitted must be one shot by the Ontario camera crew at any of the tour events. See tour schedule for full details on dates and locations.
5. There is no cost or purchase required to enter this Contest.
6. Entry to the Contest is open to residents of Ontario only and to persons of any age, however, participants under age 16 may only enter by being recorded by the ‘There’s no Place Like Ontario’ camera crew.
7. All Participants under the age of 18 must have a parent or guardian sign the participation release form provided.
8. The top 3 videos will have a choice of 1 of the 3 prizes available to be won. The top 3 winning videos will be determined by the number of votes received on line on the contest site accessed by visiting ontariotravel.net. Chances of winning are dependent on the number of votes a video receives.
9. Grand Prizes must be accepted as awarded. Except as identified above, no substitutions will be made. Grand Prizes may not be sold, transferred or assigned, and are not convertible to cash. Grand Prizes must be redeemed prior to October 15, 2008. Winners will have a choice of any one (1) of the three (3) prizes listed:

10. The selected entrants will be notified by telephone within approximately three (3) business days of the contest closing date ("Notification"). Only the selected entrants will be notified. The Contest Sponsor assumes no responsibility for any inaccurate or incorrect information provided to it, or that results in any way from the transmission, receipt or processing of entries. If a selected entrant does not respond to the Contest Sponsor within five (5) days of first contact, the Contest Sponsor shall have the right to disqualify that entrant and to select the next participant with the most votes. By entering, you agree that if you are a selected entrant that is disqualified and the Grand Prize is forfeited for any reason, the Contest Sponsor shall be fully and completely released and discharged from any liability or responsibility in this regard. Contest Sponsor is not responsible for the failure for any reason whatsoever of selected entrant to receive Notification.
11. Sponsor reserves the right to cancel, terminate, modify or suspend this contest for any reason, without prior notice to any entrant.
    
    Terms of Participation
    
12. Employees and relatives of employees of Sponsor and Organizer and any entities affiliated or related to Sponsor and Organizer are not eligible to enter the Contest. For this purpose, the term "relative" shall mean spouse, partner, parent, child or sibling.
13. If participating in the Contest at any of the tour events, entrants must at all times behave appropriately and observe the Contest Rules and any other rules or regulations in force at the event locations. The Sponsor and Organizer reserve the right, in their absolute discretion, to (a) remove any entrant from the Contest or event location if he or she breaks such rules or fails to behave appropriately and (b) disqualify an entrant.
14. By submitting a contribution to the Organizer in relation to the Contest, or by participating at any tour event location, each entrant irrevocably waives any and all rights, including moral rights to all photographs, recordings of the entrant, or the use of the entrant’s name, city of residence or testimonials in connection with the same, and any derivative works made therefrom.
15. By submitting a contribution to the Organizer in relation to the Contest each entrant represents, warrants and undertakes to Sponsor and Organizer that the entrant’s contribution (i) is the entrant’s own original work and that the entrant has the sole right to submit it to the Contest (ii) does not violate in any way rights of third parties including copyright and other intellectual property rights and (iii) does not violate any applicable laws.
16. In the event that an entrant breaches any of representations, warranties or undertakings contained herein, Sponsor and Organizer shall be entitled to and may seek indemnification from the entrant for recovery of all legal fees, damages, claims and other expenses that may be incurred by Sponsor or its affiliated entities as a result of the entrant’s aforementioned breach.
17. An entrant's contribution to the Contest must not include any content whatsoever which would reasonably be understood to be defamatory, threatening, distasteful, racist, unlawful or otherwise objectionable.
18. Sponsor and Organizer reserve the right to alter or modify an entrant’s contribution to the Contest without notification or consent from the entrant.
19. Sponsor and Organizer reserve the right to change these terms at any time and at its sole discretion.
20. By entering the Contest, each entrant consents to the collection, use, disclosure and retention of the entrant’s personal information (name, image, photograph, likeness, voice, city of residence and performance) in connection with the Contest and agree and acknowledge that: (a) the recording of any performance will be used by the Sponsor for the purpose of the Contest, and for the purpose of promoting the video of the performance itself; and (b) the recordings taken of any performance will be the property of the Sponsor and may also be used for advertising and promotional purposes in Sponsor’s print or electronic publications, including magazines, posters, CD-ROMs and on Sponsor’s website (ontariotravel.net) or Organizer’s website. Consents can be revoked at any time before the close of the Contest by contacting Sponsor or Organizer Debra Mansillo (see contact information below) in which case the entrant’s submission will no longer be eligible to win the Contest.
21. Each entrant agrees to grant to Sponsor and Organizer, all rights whatsoever in and to the entrant’s voice, performances and appearances (including vocal performances), as recorded by audio-visual recordings (including still, moving picture and sound recording) made by the Sponsor/Organizer at the Contest, or contributed by the entrant for the purpose of the Contest (referred to as “recordings”, and any testimonials (if any), including but not limited to the right throughout the universe, in perpetuity, and in all media, formats, now or hereafter devised:
    
    a) to use, reproduce, translate, distribute, adapt, modify, publish or display (whether in whole or in part and whether sequentially or non-sequentially) all such recordings or testimonials, including but not limited to the production of derivative works therefrom;
    
    b) to edit, adapt, convert to digital-machine readable or any other accessible format for persons with disabilities, all such recordings or testimonials; and
    
    c) to publish and advertise the entrant’s name, city of residence, likeness (photographic or otherwise), performance, and testimonials (if any) in any and all manner and medium for the Contest and for the advertising and promotional purposes set out above.
    
22. Each entrant agrees that the consents given and rights granted above are done so without further compensation in connection with this Contest or the prize awarded.
23. Each entrant acknowledges that the Sponsor and Organizer have no control over and are not responsible for any use or misuse including, but not limited, to any alteration, modification, reuse or distortion of the photographs or recordings taken or submitted (or the entrant’s name, city of residence and testimonials in connection with the same) that may occur or be caused by third parties. The Sponsor and Organizer will not be monitoring and have no control over third parties’ use or misuse of the photographs or recordings of the entrant (or the entrant’s name, city of residence or testimonials in connection with the same) displayed on the Ontariotravel.net website or other websites or publications.
24. The Sponsor shall not be liable to entrants for any loss or damage or injury to entrants or their property caused by or suffered during or in connection with participation in the Contest, including without limitation, as a result of personal injury, invasion of privacy, libel, defamation or infringement of copyright.
25. Each entrant agrees to indemnify Sponsor from any third party claims arising from or related to that entrant's participation in the Contest. By participating, entrants agree that Sponsor, Organizer involved in the development, production, implementation and distribution of this promotion and their respective parent companies, affiliates, subsidiaries, service providers, and agencies, and their directors, officers, agents, employees, attorneys, and any other person or entity associated with such entities and/or promotion shall not be liable for any and all claims, damages, losses or injuries, including any third party bodily injury (including death), personal injury, property damage, libel, defamation, invasion of privacy, and infringement of copyright, arising from or relating to, in whole or in part, this Contest, including entry and participation in this Contest and acceptance, possession, use or misuse of the prizes. All entrants further agree that in the event of any third party claims, damages, losses or injuries, arising from or relating to this Contest, they will indemnify Organizer and Sponsor from any and all such claims, including the attorneys' fees related thereto.
26. Organizer and Sponsor shall not be responsible for any technical malfunctions of the telephone network, computer on-line system, computer equipment, software, program malfunctions or other failures, delayed computer transactions or network connections that are human, mechanical or technical in nature, or any combination thereof, including any injury.
27. Entrants participating in this Contest are liable for any copyright infringements caused by their videos. In addition, entrant is responsible to secure permission from all talent included in the video. Sponsor and Organizer assume no responsibility for royalties or fees associated with talent performances in the entered videos. Rights for singing a karaoke version of the ‘There’s no Place Like This’ song has been obtained and cleared for usage in this contest.
28. Sponsor and Organizer assume no responsibility for lost or late entries or for incomplete computer transmissions or technical failures.
29. Sponsor and Organizer reserve the right not to accept entries that are considered inappropriate for the Contest.
30. This Contest is governed by the laws of Ontario and the laws of Canada applicable therein, and is subject to all applicable federal, provincial and municipal laws and regulations and is void where prohibited. These Rules and terms are binding on all entrants and other participants including parents and legal guardians who sign the consent, release and waiver form. The Courts of Ontario shall have sole jurisdiction in relation to the terms of this Contest.
    
    Personal information is collected under the authority of Regulation 618/98 under the Development Corporations Act, R.S.O. 1990, c.D.10 and the Freedom of Information and Protection of Privacy Act and used for the purpose of administering and promoting the Contest and winners.
